Terms of supply

1. What we supply

MH FormX ("we", "us") supplies cut-to-size components only — plywood and timber components machined to the dimensions, materials and quantities specified by the customer ("you"). We are a cutting and fabrication supplier. We are not engineers, we are not a design office, and we are not a formwork erector.

Unless we have given you a separate written engineering certificate signed by a registered professional engineer, nothing we supply, say, draw, calculate, display on our website or app, or send by email is an engineering design, a certification, or a statement that anything is fit for a particular pour, load, height or site condition.

2. Your responsibility for design and engineering

You are solely responsible for:

• the design of the formwork and of the permanent works, including radii, geometry, setout, member sizes, spacings, thicknesses and materials;
• engineering — concrete pressures, pour rates, pour sequence, temperature, vibration, load paths, deflection, ties, props, strongbacks, bracing, soffit support, wind and any temporary works certification required by law;
• the dimensions and information you give us, including anything you type into the website or app, mark up in the Drawing Takeoff tool, or send as a drawing, sketch, message or file;
• checking that the scale, units and dimensions taken off any drawing are correct before ordering;
• handling, storage, assembly, fixing, propping, bracing, stripping, re-use and safe use of the goods on site;
• compliance with AS 3610, AS 3600, the Work Health and Safety legislation of your State or Territory, your principal contractor's requirements and any approval or certification required for temporary works.

We machine what you order. We do not check, verify, approve or take responsibility for whether what you ordered is right for your job.

3. Drawings, models, previews and the Drawing Takeoff tool

The plan views, 3D views, cut files (DXF), quantities, weights, piece counts, nesting and any takeoff produced from a PDF, DWG, DXF or photograph are indicative aids to ordering only, generated automatically from what you enter or mark up. They are not shop drawings, not certified drawings, and not a check of your design.

Scale, dimensions and radii taken from an uploaded drawing must be checked by you before you order. Converted or imported files (including DWG conversions) may lose or alter information.

4. Tolerances, materials and appearance

Cut components are supplied to a tolerance of ±1 mm on machined dimensions unless agreed otherwise in writing. Timber and plywood are natural, hygroscopic products: thickness, moisture content, colour, face grade, bow, spring and cup vary within the manufacturer's tolerances and change with site conditions. Bending ply must be formed and supported by you to the radius required; we do not warrant that any material will achieve a given radius without cracking, springback or additional kerfing, lamination or support.

Re-use life of any component depends entirely on site handling, release agents, cleaning and storage, and is not warranted.

5. Off-form finish

We do not warrant concrete finish. Off-form appearance depends on the mix, release agent, pour rate, vibration, joints, ties, curing, stripping time and workmanship, none of which are within our control.

6. Quotes and prices

Quotes are valid for 30 days and are based only on the information you supplied. Instant online prices are indicative and subject to our review for non-standard geometry, tight radii, thin or wide rips, or unusual materials. We may withdraw or re-price any online price before accepting an order, and we will tell you before we start cutting.

Prices are in Australian dollars and exclude GST unless stated. Trade accounts are invoiced on approved credit terms; all other customers pay in full before dispatch.

7. Orders, changes and cancellation

An order is accepted only when we confirm it. Every item is made to order. Once cutting has started an order cannot be cancelled or changed, and the full price is payable. Errors in dimensions or quantities supplied by you are not grounds for cancellation, return or credit.

8. Delivery, risk and title

Delivery dates are estimates and time is not of the essence. We are not liable for delay, or for any cost, downtime, standby, crane, labour, rework or liquidated damages arising from delay. Risk passes on delivery to site or on collection. Title passes only when we have been paid in full, and until then you hold the goods as bailee and we may enter the site and retake them. These terms create a security interest under the Personal Property Securities Act 2009 (Cth), which we may register.

9. Claims for shortage or damage

Check every delivery on arrival. Shortages, damage or incorrect items must be reported in writing within 48 hours of delivery, before any component is used, cut, fixed or modified. No claim is accepted for a component that has been used or altered.

10. Limitation of liability

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

To the maximum extent permitted by law:

• our total liability arising out of or in connection with the goods, whether in contract, tort (including negligence), statute or otherwise, is limited at our option to replacing or repairing the goods, re-supplying them, or refunding the price paid for the goods in question;
• we are not liable for any indirect or consequential loss, including loss of profit, loss of contract, loss of production, delay costs, standby or downtime, crane or labour costs, demolition, rectification or re-pour costs, site overheads, or liquidated damages;
• we are not liable for any loss caused by the design, engineering, dimensions, materials selection, quantities, assembly, propping, bracing, loading or use of the goods, or by information supplied by you or by anyone on your behalf;
• we are not liable for any failure, collapse, movement, blow-out, deflection or defect in formwork, temporary works or finished concrete.

11. Indemnity

You indemnify us against all claims, losses, damages, costs (including legal costs on a full indemnity basis), penalties and expenses arising from or connected with the design, engineering, assembly, use or misuse of the goods, from dimensions or information you supplied, or from your breach of these terms — except to the extent caused by our own proven negligence.

12. Acknowledgement at checkout

Before placing an order or requesting a quote you must tick the acknowledgement shown at checkout. That acknowledgement, with the date, time, the account or contact details used and the version of these terms in force, is recorded against your order and forms part of the contract between us.

The wording recorded is: "I confirm that I am ordering cut-to-size components to my own dimensions. I am responsible for the design, engineering, setout, materials selection, propping, bracing and safe use of this formwork, and for checking every dimension and quantity in this order. MH FormX provides no design or engineering advice, certification or warranty of fitness for purpose, and accepts no liability for the design or use of the goods. I accept the Terms of Supply."

13. Insurance

You must hold current public liability and contract works insurance appropriate to your works. We do not insure your temporary works, your design, or the performance of the goods in use.

14. General

These terms, together with the order confirmation, are the whole agreement between us and override any purchase order conditions you issue. No employee or agent may vary them except in writing signed by a director. If any clause is unenforceable it is severed and the rest continues. These terms are governed by the law of New South Wales and the parties submit to the courts of that State.
